Terms of Service

Welcome to BitEasy, operated by Webvana Inc. ("we", "us", "our"). By accessing or using the BitEasy platform, you agree to the following Terms of Service.

If you do not agree, you may not use the service.

IMPORTANT: These Terms contain a binding arbitration clause and class action waiver in Section 16. Please read it carefully, as it affects your legal rights.


1. Commercial Use Only

BitEasy is intended exclusively for business and commercial use. By creating an account, you represent and warrant that:

  • you are acting on behalf of a business, organization, or commercial entity,
  • you have the legal authority to bind that entity to these Terms,
  • you will provide accurate business information, including business name and billing details, which may be stored by our payment processor (Stripe).

BitEasy is not intended for consumer use, personal financial arrangements, or non-commercial purposes. If you are not acting in a business capacity, you are not authorized to use the platform.


2. About BitEasy

BitEasy provides tools to:

  • Create and manage referral links
  • Attribute installs and track revenue shares
  • Calculate earnings
  • Process payouts to partners on your behalf

Technology Intermediary

BitEasy is a technology intermediary — a software platform that facilitates payment instructions between app owners and their partners.

BitEasy is not a bank, payment processor, money transmitter, money services business, escrow service, financial advisor, or tax agent. BitEasy does not hold, manage, or control your funds except as a brief, transitory step in the payout process described in Section 4. All payment processing is performed by Stripe, a licensed third-party payment processor, and is subject to Stripe's own terms of service and regulatory compliance.


3. Accounts & Eligibility

You must:

  • Provide accurate, current business information,
  • Maintain control of your credentials,
  • Maintain at least one valid payment method for each active app,
  • Use BitEasy in compliance with applicable law.

You are responsible for all actions performed under your account.


4. Payment Methods & Payouts

How Payouts Work

You provide a payment card ("payment method") which is stored securely via Stripe's payment infrastructure. BitEasy never sees or stores your full card number.

At payout time:

  1. BitEasy charges your designated payment method for the amount owed to your partner(s).
  2. Funds are received into BitEasy's Stripe account as a transitory step only.
  3. Upon confirmation of receipt, BitEasy immediately initiates a transfer to the partner's Stripe account via Stripe Connect. Actual settlement timing depends on Stripe's processing.

BitEasy does not hold, pool, or invest user funds. Funds transit through our Stripe account solely for the purpose of completing the transfer to your partner(s). BitEasy acts as a conduit, not a custodian.

BitEasy receives and holds funds solely as your agent for the limited purpose of completing the transfer to your designated partner(s). This agency relationship does not create a trust, fiduciary duty, or custodial obligation beyond the completion of the transfer.

Fees

Stripe processing fees are applied to each payout and are borne by you (the app owner), not the partner.

Liability

You acknowledge and agree that:

  • You are solely responsible for maintaining a valid payment method for each of your apps.
  • BitEasy initiates charges and transfers based on the payout rules you configure.
  • BitEasy does not:
    • guarantee the success of any charge or transfer,
    • advance payments to partners,
    • provide escrow or hold funds on your behalf.

If payouts fail due to:

  • insufficient funds,
  • expired or declined cards,
  • Stripe holds or disputes,
  • chargebacks or fraud flags,
  • system errors,

BitEasy is not liable for:

  • failed or delayed payouts,
  • penalties, fees, or damages incurred by you or your partners.

BitEasy will attempt to notify you and log the issue where possible. Partners must contact you directly regarding payments.

Attribution Suspension

BitEasy will immediately suspend referral attribution and tracking for any app where a charge to the designated payment method fails. This means:

  • new referrals will not be tracked or attributed,
  • partners will not accrue additional earnings,
  • existing accrued earnings remain payable once billing is restored.

This protects partners from performing promotional work that cannot be compensated. Attribution is restored automatically when a valid payment method is on file and a successful charge is confirmed.

Service Suspension for Billing Issues

In addition to attribution suspension, BitEasy may suspend broader platform access for apps with unresolved billing issues, including:

  • no valid payment method on file,
  • repeated charge failures,
  • expired or declined cards.

5. Relationship With Partners

All financial agreements between:

  • you, and
  • your partners, affiliates, or collaborators

are solely between you and them.

BitEasy is not:

  • a party to those agreements,
  • responsible for validating terms,
  • responsible for enforcing payment rules.

Liability Disclaimer

BitEasy is not responsible for:

  • incorrect payout percentages,
  • underpayment or overpayment,
  • disputes between users and partners,
  • reputational or financial harm arising from arrangements you configure.

Your use of BitEasy does not create a contract between BitEasy and your partner(s).

Independent Written Agreements

We strongly encourage you and your partners to enter into your own independent written agreement governing the commercial terms of your arrangement, including commission rates, promotional obligations, payment expectations, and dispute resolution. BitEasy's display of referral link terms within the platform is a convenience feature — it is not a substitute for a proper contract between you and your partner.

Partner Recourse & Information Sharing

Partners' legal recourse for unpaid earnings is against you, the app owner, not BitEasy.

In cases of prolonged payout failure (14+ days), BitEasy may, at its sole discretion, share your contact information with affected partners to facilitate direct resolution. This is not an obligation, and BitEasy shall not be liable for any failure or delay in sharing such information.


6. Earnings Estimates & Reporting

The dashboard may show:

  • month-to-date earnings,
  • projected payouts,
  • referral metrics,
  • successful claims.

These are estimates only. Actual settlement amounts may vary.

You are responsible for confirming payout accuracy before funds move.


6A. Taxes & Compliance

You are solely responsible for:

  • calculating,
  • collecting,
  • reporting,
  • and remitting

any taxes or regulatory obligations associated with your revenue or partner payments, including:

  • income tax,
  • GST/HST/VAT,
  • sales tax,
  • withholding requirements.

BitEasy does not:

  • provide tax advice,
  • file returns,
  • generate certified tax documents,
  • remit taxes on your behalf.

Consult your own accountant or legal advisor.


7. Acceptable Use

You agree not to:

  • hack, interfere with, or reverse-engineer the platform,
  • misuse API access,
  • violate Stripe's terms or local laws,
  • use BitEasy for fraudulent or illegal activity,
  • use stolen, unauthorized, or fraudulent payment methods.

We may suspend or terminate access for violations.


7A. Intellectual Property

Platform Ownership

All intellectual property rights in the BitEasy platform — including its software, design, trademarks, logos, documentation, and all related materials — are and remain the exclusive property of Webvana Inc. or its licensors.

You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works from any part of the platform without prior written consent.

Your Content

You retain ownership of any content, data, or materials you provide through the platform (such as app names, referral configurations, and business information). By using BitEasy, you grant us a limited, non-exclusive, worldwide license to use, display, and process your content solely to operate and provide the service.

This license terminates when you delete your account, except as required for legal compliance or as described in our Privacy Policy.


8. Service Availability

We strive for high uptime, but do not guarantee:

  • uninterrupted service,
  • zero errors,
  • permanent feature availability.

BitEasy is not liable for:

  • downtime,
  • lost revenue,
  • indirect consequences of outages or performance issues.

9. Data & Privacy

Use of BitEasy is governed by our Privacy Policy, available on this website.


10. Termination

You may close your account at any time. We may suspend or terminate accounts that violate these terms.

Upon termination:

  • dashboard access ends,
  • we may retain log data for security and legal compliance.

11. Disclaimers

To the fullest extent allowed:

  • BitEasy is offered "as-is" and "as available."
  • We disclaim all warranties, including:
    • merchantability,
    • fitness for a particular purpose,
    • non-infringement,
    • uninterrupted operation.

You use BitEasy at your own risk.


12. Limitation of Liability

To the maximum extent permitted:

  • BitEasy's total liability for claims is limited to the fees you paid us in the preceding 12 months, if any.
  • BitEasy is not liable for:
    • lost profits or revenue,
    • failed payouts or delays,
    • tax miscalculations or penalties,
    • business interruptions,
    • indirect, incidental, or consequential damages.

Nothing in this section applies to liability arising from intentional misconduct or fraud by BitEasy.


13. Indemnification

You agree to indemnify, defend, and hold harmless BitEasy and its owners, employees, and affiliates from:

  • claims,
  • disputes,
  • losses,
  • damages,
  • liabilities,
  • costs (including legal fees)

arising from:

  • your use of BitEasy,
  • your agreements with partners,
  • payout configurations you create,
  • tax, regulatory, or financial consequences of your business,
  • violations of these terms.

This clause protects BitEasy if your partners, customers, or authorities come after us.


14. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations under these Terms where such failure or delay results from events beyond reasonable control, including but not limited to:

  • Stripe or third-party payment processor outages,
  • banking system failures,
  • natural disasters,
  • government actions or regulations,
  • network or infrastructure failures,
  • pandemics or public health emergencies.

The affected party will make reasonable efforts to resume performance as soon as practicable.


15. Electronic Communications

By using BitEasy, you consent to receive electronic communications from us, including:

  • payout notifications,
  • billing alerts,
  • service and security updates,
  • terms and policy change notices.

These communications are part of the service and are not marketing. You may not opt out of transactional communications while using the platform.


16. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Binding Arbitration

You and BitEasy agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the platform, or the relationship between you and BitEasy (collectively, "Disputes") shall be resolved exclusively through final and binding arbitration, rather than in court, except as set forth below.

Arbitration shall be administered by the ADR Institute of Canada (ADRIC) in accordance with its Arbitration Rules, and conducted by a single arbitrator. The arbitration shall take place in Alberta, Canada, and shall be governed by the laws of Alberta and the federal laws of Canada applicable therein.

Small Claims Exception

Either party may bring an individual action in small claims court for Disputes within the jurisdiction of such court, provided the matter remains in small claims court on an individual basis.

Class Action & Representative Action Waiver

To the fullest extent permitted by law, you and BitEasy agree that any Dispute will be resolved solely on an individual basis. You waive any right to:

  • participate in a class action, collective action, or representative action against BitEasy,
  • serve as a class representative or class member,
  • join or consolidate claims with those of any other person or entity.

If this class action waiver is found to be unenforceable for a particular claim, then that claim (and only that claim) shall be severed and may proceed in court, while all other claims remain subject to arbitration.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@biteasy.co within 30 days of accepting these Terms. The notice must include your name, account email, and a clear statement that you wish to opt out of the arbitration clause. If you opt out, disputes will be resolved exclusively in the courts of Alberta, Canada.

Costs

Each party shall bear its own costs of arbitration. If the arbitrator finds that a claim was brought frivolously, the arbitrator may award reasonable attorneys' fees and costs to the prevailing party.


17. Limitation on Time to File Claims

Any claim or cause of action arising out of or related to these Terms or your use of BitEasy must be filed within twelve (12) months after the cause of action accrues. Claims filed after this period are permanently barred.


18. Governing Law

These Terms are governed by the laws of Alberta, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.


19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. All remaining provisions shall continue in full force and effect.


20. Entire Agreement & No Waiver

These Terms, together with the Privacy Policy, constitute the entire agreement between you and BitEasy regarding your use of the platform and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

No failure or delay by BitEasy in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof. A waiver of any provision on one occasion shall not be construed as a waiver of such provision on any future occasion.


21. Changes to These Terms

We may update these Terms over time. If changes are material, we will notify users through the dashboard or email.

Your continued use constitutes acceptance of updated terms.


22. Third-Party Assets

Avatars in the Biteasy app are generated using DiceBear (Fun Emoji style).

By continuing to use BitEasy, you confirm that:

  • you are using the platform for business and commercial purposes,
  • payouts are charged to your designated payment method and transferred to partners via BitEasy's platform,
  • you remain responsible for maintaining valid payment methods and funding balances,
  • you are responsible for all applicable taxes,
  • you manage your own partner relationships,
  • and BitEasy's role is limited to providing software that executes instructions you configure.
